Business setup

Start an Australian company from India

Company registration is the easy part. Getting the ownership, director residency, tax residency and GST position right — before money moves — is what saves you the restructure later.

The build

Six stages from idea to operating entity

Structure first, registration second. Doing it the other way around is what forces expensive restructures a year later.

  1. Choose the structure

Proprietary limited company, branch, subsidiary or trust — chosen on tax outcome, liability and your visa pathway, not on default.

  2. Register the entity

ACN registration with ASIC, constitution, share allotment and registered office.

  3. Director requirements

At least one Australian-resident director and a Director Identification Number for every director, including overseas ones.

  4. Tax registrations

TFN, ABN, GST where turnover requires it, PAYG withholding and, if you employ, superannuation setup.

  5. Banking & capital

Corporate account opening, FEMA/ODI compliance on the Indian side and documented share capital inflow.

  6. Ongoing compliance

BAS lodgements, annual ASIC review, financial statements, income tax return and transfer-pricing documentation.

Australia corridor

Both directions of the India ↔ Australia route

Australia is our core corridor, so we keep it on its own page — Indians building in Australia and Australians building in India, handled together.

Indians starting a business in Australia

A proprietary limited company that can trade, employ and, where relevant, carry a sponsored or business visa application.

  • ASIC registration, constitution and shareholding designed around the visa route
  • Resident director requirement satisfied lawfully and documented properly
  • ODI or LRS route on the Indian side for the capital that funds it
  • TFN, ABN, GST, PAYG withholding and superannuation before the first payroll
  • Transfer pricing and permanent establishment position agreed in both countries

Australians starting a business in India

Australian founders and groups entering India — the sector FDI position, the entry vehicle and the reporting that follows.

  • Automatic versus government approval route under India's FDI policy for your sector
  • Wholly owned subsidiary, joint venture, LLP, branch or liaison office compared
  • Indian resident director and Director Identification Numbers arranged
  • FEMA reporting: FC-GPR on share allotment and the annual FLA return
  • Australia-side consequences: CFC rules, franking, and the DTAA position on repatriated profits
